Effective date: June 1, 2026
These Terms and Conditions (“Terms”) are an agreement between you and Piping Labs (“Piping Labs”, “we”, “us”). They govern your use of pipinglabs.com and our hosted services (the “Services”), and any software we let you download, including plugins, add-ins, and desktop tools (the “Software”; together with the Services, the “Products”).
1. Acceptance
By creating an account, downloading Software, or using the Products, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it, and “you” means that organization. If you do not agree, do not use the Products.
2. Definitions
- Account: your registered user identity for the Products.
- Customer Data: data, files, models, catalogs, and other content you or your users upload to or create in the Products.
- Documentation: our user guides and help content for the Products.
- Order: any online checkout, quote, invoice, or order form for a Subscription.
- Subscription: your paid right to use the Products for a term.
- Third-Party Products: software or services not made by Piping Labs, such as Autodesk and Microsoft products.
3. Accounts and Authentication
3.1 Registration. You must give accurate, current information and keep it updated. You must be at least 18 and able to form a binding contract.
3.2 Amazon Cognito. We use Amazon Cognito, a service of Amazon Web Services, Inc. (“AWS”), to register users, verify contact details, sign you in, and issue the tokens that keep you signed in to the Services and the Software. AWS acts as our subprocessor for this purpose.
3.3 Credential security. Keep your password and any multi-factor authentication (MFA) device secure, and do not share Accounts. Each Account is for one named person. We recommend MFA for all users and may require it for administrator Accounts. Tell us at once through our Contact Us page (https://pipinglabs.com/contact-us/) if you suspect unauthorized access.
3.4 Sessions and tokens. The Software and Services store tokens on your device to keep you signed in. Tokens expire and refresh on a schedule we set, and we may revoke tokens or require you to sign in again at any time to protect the Products. Do not copy, extract, or reuse tokens outside the Products.
3.5 Responsibility. You are responsible for all activity under your Account and your organization’s Accounts. We may suspend an Account that we reasonably believe is compromised or misused.
4. Fees, Payment, and Billing
4.1 Fees. Fees and usage limits are those shown at checkout or in your Order.
4.2 Payment through Stripe. Payments are processed by Stripe, Inc. (“Stripe”). You authorize us and Stripe to charge your payment method for all fees when billed. Your payment details are collected and stored by Stripe under its own terms and privacy policy; Piping Labs does not store your full card number. Fees are in US dollars and exclude taxes, which you pay except taxes on our income.
4.3 Due dates and renewal. Fees are due at billing through Stripe or as stated on your invoice. Subscriptions renew automatically for the same term unless you cancel before the renewal date.
4.4 Price changes. We will give at least 30 days’ notice of a price change, which applies at your next renewal.
4.5 Cancellation. You can cancel through your account settings or through our Contact Us page. Cancellation takes effect at the end of the current paid term.
4.6 Refunds. Fees are non-refundable, and we do not give credits for partial periods, except as required by law or stated in an Order.
4.7 Failed or late payment. If a payment fails, Stripe may retry it and we may ask you to update your payment method. We may suspend the Products if fees are more than 15 days overdue.
5. Software License
5.1 Grant. During your Subscription, and subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software in object code form for your internal business purposes, within the users or devices allowed by your Order.
5.2 Updates. We may provide updates, patches, and new versions. Some updates may be required to keep using the Services, and these Terms apply to them. Older versions may stop working with the Services.
5.3 License check-in. Desktop Software must connect to the Services over the internet to verify your Account and license at least every 30 days. If it cannot check in within that period, it may stop working until it reconnects.
5.4 Restrictions. You may not, and may not let anyone else: (a) copy, modify, or create derivative works of the Software except as the Documentation allows; (b) reverse engineer, decompile, or disassemble it, except where applicable law expressly permits despite this limit; (c) sell, rent, lease, sublicense, or distribute it; (d) remove proprietary notices; (e) bypass license checks, authentication, or usage limits; or (f) use it to build a competing product.
5.5 Third-Party Products. Some Software works with Third-Party Products, such as Autodesk and Microsoft products. You must license those separately under their owners’ terms. We are not responsible for them, and changes to them may affect how our Software works.
5.6 Open-source components. The Software may include open-source components licensed under their own terms. Those notices are provided with the Software, and those terms govern those components.
5.7 End of license. When your Subscription ends, your license ends, and you must uninstall the Software and delete all copies.
6. Customer Data
6.1 Ownership. You own your Customer Data. You grant us a limited license to host, copy, process, and display it only to provide, secure, and support the Products and as you instruct.
6.2 Your responsibility. You are responsible for the accuracy and legality of Customer Data and for having the rights to upload it, including any client or project data.
6.3 Aggregated data. We may collect usage and performance data and use it in de-identified, aggregated form to improve the Products, provided it does not identify you or your users.
6.4 Export and deletion. During your Subscription you may export Customer Data using the Products’ features. Within 30 days after termination, we will return Customer Data on request and then delete it, except copies in backups that are deleted on their normal cycle or data we must keep by law.
7. Acceptable Use
You will not: (a) break any law or third-party right; (b) upload malware or harmful code; (c) try to gain unauthorized access to the Products or other customers’ data; (d) probe, scan, or load test the Products without our written permission; (e) disrupt or overload the Products; (f) use automated means to access the Services except through our documented interfaces; (g) share Accounts or resell access; or (h) upload data you are not allowed to share, including export-controlled technical data unless permitted by law.
8. Intellectual Property
We and our licensors own the Products, Documentation, and all related intellectual property. These Terms give you no rights except those stated. If you send us feedback, we may use it without obligation to you.
9. Confidentiality
Each party will protect the other’s non-public business and technical information, including Customer Data, with reasonable care, use it only for these Terms, and share it only with people who need to know it and are bound to keep it confidential. This does not cover information that is public, already known, independently developed, or lawfully received from someone else. A party may disclose information when the law requires, after giving notice where allowed.
10. Privacy
Our Privacy Policy (https://pipinglabs.com/privacy-policy/) explains how we collect and use personal information, including sign-in details processed through Amazon Cognito and payment details processed by Stripe.
11. Security
We use reasonable administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit. No system is perfectly secure. We will notify you without undue delay if we confirm a security breach affecting your Customer Data, as required by law.
12. Availability, Support, and Changes
We aim to keep the Services available but do not promise uninterrupted service unless a separate written agreement says so. We may perform maintenance, with advance notice where practical. Support is available through our Contact Us page (https://pipinglabs.com/contact-us/). We may change or remove features, but will not materially reduce the core function of a paid Subscription during its current term.
13. Integrations and Professional Services
Integrations with your own systems, custom development, consulting, and other professional services are not part of a standard Subscription. They need a separate Master Services Agreement (MSA) and statement of work, which control if they conflict with these Terms.
14. Third-Party Services
The Products may link to or work with third-party services, including AWS, Stripe, Autodesk, and Microsoft services. Your use of those is governed by their terms, and we are not responsible for them.
15. Warranty Disclaimer
The Products are provided “AS IS” and “AS AVAILABLE”. To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Products will be error-free or uninterrupted. The Products are design and data tools. You remain responsible for checking all engineering output, including models, specifications, catalogs, isometrics, and bills of materials, before relying on it. The Products do not replace professional engineering judgment.
16. Limitation of Liability
To the fullest extent allowed by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, even if advised they were possible; and (b) each party’s total liability under these Terms will not exceed the fees you paid us in the 12 months before the claim. These limits do not apply to your payment obligations, your breach of Section 5.4 or 7, your indemnity obligations, or a party’s gross negligence or willful misconduct.
17. Indemnification
You will defend and indemnify Piping Labs against third-party claims arising from your Customer Data, your misuse of the Products, your breach of Section 5.4 or 7, or your violation of law. Piping Labs must give you prompt notice, reasonable help, and control of the defense.
18. Term and Termination
These Terms apply while you use the Products. Either party may terminate a Subscription if the other materially breaches these Terms and does not fix the breach within 30 days of notice. We may suspend or terminate access immediately for a security risk, a breach of Section 7, or non-payment. On termination, fees owed become due, your licenses end, and Sections 6.4, 8, 9, and 15 to 21 survive.
19. Export Compliance
You will follow all US and other applicable export control and sanctions laws. You confirm you are not on a US government restricted-party list and will not use or export the Products to a sanctioned country or for prohibited uses.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. The state and federal courts located in Greenville County, South Carolina have exclusive jurisdiction, and both parties consent to them.
21. General
Changes to these Terms. We may update these Terms. We will post the new version with a new date and, for material changes, notify you by email or in the Products at least 30 days in advance. Continued use after the change takes effect means you accept it.
Entire agreement. These Terms, your Orders, and any MSA are the whole agreement and replace prior agreements on the same subject. If they conflict, the MSA controls, then the Order, then these Terms.
Assignment. You may not assign these Terms without our consent, except in a merger or sale of substantially all assets. We may assign them in the same circumstances.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, except payment obligations.
Notices. We send notices to your Account email. You send notices, including legal notices, through our Contact Us page (https://pipinglabs.com/contact-us/).
Severability and waiver. If a provision is unenforceable, the rest still applies. Not enforcing a right is not a waiver.
Relationship. The parties are independent contractors.
